HP board says vote 'yes' or we quit

NEWS HP board members in favour of the company's merger with Compaq could quit if shareholders reject the deal next week. Phil Conduit, CEO of Boeing and an HP director, warned he and at least eight other board members in support of the merger would face "personal conflicts" if the deal was overturned. Fellow director Sam Ginn, ex-chairman of Vodafone Airtouch, said if directors did resign they would wait for replacements to come in, rather than leave board matters in the hands of Walter Hewlett. However, Hewlett dismissed the resignation threats, claiming HP is merely trying to scare investors into voting for the merger. It has already been made clear HP CEO Carly Fiorina will come under pressure to leave if the deal falls through.
